EZ Store Kent Ltd – Storage Contract
This Storage Contract (the “Agreement”) is entered into on [Date] by and between EZ Store Kent Ltd, a company with its principal place of business located at [EZ Store Kent Ltd Address] (“EZ”), and [Customer’s Full Name], residing at [Customer’s Address] (“Customer”). EZ and Customer are hereinafter individually referred to as a “Party” and collectively as the “Parties.”
1. Scope of Agreement
1.1 License to Store: EZ hereby grants Customer a revocable, non-transferable license to store personal property (“Goods”) in an assigned unit (the “Unit”) at EZ’s storage facility, subject to compliance with all payment obligations and other terms herein. This Agreement shall not constitute any leasehold or tenancy interest in the Unit.
1.2 Right of Entry: EZ shall retain the right to access the Unit at any time for purposes of inspection, repair, emergency response, or to enforce the terms of this Agreement. EZ shall endeavor to provide prior notice when feasible, except in cases of emergency or exigent circumstances.
1.3 Customer’s Warranties: Customer represents and warrants that they are the lawful owner of or have lawful possession or control over the Goods stored in the Unit and that such Goods are lawfully stored in compliance with this Agreement.
2. Payment Terms
2.1 Deposit: Customer agrees to pay a deposit of £[Amount] upon signing this Agreement. The deposit, subject to deductions for any unpaid fees, damages, or cleaning, shall be refunded within twenty-one (21) days of the termination of this Agreement via electronic transfer.
2.2 Storage Fees: Customer shall pay storage fees in the amount of £[Monthly Fee] (“Storage Fees”), due on the [Due Date] of each calendar month. The initial payment shall be due upon the execution of this Agreement. Payments shall be made in full and on time via direct debit, debit card, or credit card.
2.3 Late Payment and Default: In the event of late payment, a late fee of £[Late Fee Amount] shall apply. EZ reserves the right to restrict Customer’s access to the Unit for delinquent payments and to pursue all legal remedies, including penalties, lien enforcement, and disposal of Goods, as set forth herein.
3. Default and Enforcement Rights
3.1 Lien Rights: If any payment remains unpaid, EZ shall have a lien on the Goods stored by Customer and may exercise its right to restrict access to the Unit, overlock the Unit, and ultimately, enter, seize, sell, or dispose of Goods to satisfy the outstanding balance, following written notice to Customer as required by law.
3.2 Abandonment of Goods: Customer agrees that any Goods left in the Unit after the termination of this Agreement shall be deemed abandoned, and EZ shall have the right, without liability, to dispose of or sell such Goods, with any sale proceeds first applied to any outstanding debt owed by Customer.
4. Access and Use of Unit
4.1 Access Hours: Customer shall have access to the Unit solely during EZ’s posted access hours. EZ reserves the right to amend access hours and shall make reasonable efforts to provide advance notice to Customer of any such changes.
4.2 Authorized Access: Only Customer and persons authorized in writing by Customer shall have access to the Unit. EZ may require proof of identity for access and may deny access for non-compliance with payment terms or security concerns.
5. Use Restrictions and Prohibited Items
5.1 Permitted Use: The Unit is intended exclusively for storage purposes and shall not be used for residential, business, or office purposes, nor as a mailing address.
5.2 Prohibited Goods: Customer shall not store any of the following:
a. Perishable items;
b. Combustible or flammable substances;
c. Firearms or ammunition;
d. Hazardous materials or substances;
e. Living animals;
f. Illegal or contraband items.
Customer shall indemnify and hold EZ harmless from any claims, damages, or losses resulting from the storage of any prohibited Goods.
6. Insurance and Risk of Loss
6.1 Insurance Requirement: Customer is required to maintain adequate insurance coverage for the replacement value of all Goods stored in the Unit throughout the duration of this Agreement. EZ shall bear no responsibility for insuring Goods stored by Customer.
6.2 Limitation of Liability: EZ shall not be liable for any loss or damage to Goods, including but not limited to theft, damage, deterioration, or destruction, unless resulting from EZ’s gross negligence, in which case EZ’s liability shall be limited to a maximum of £100.
7. Termination and Amendments
7.1 Cooling-Off Period: For Agreements executed remotely, Customer may cancel this Agreement within fourteen (14) days of execution, subject to a prorated refund for any unused storage services.
7.2 Termination Notice: Either Party may terminate this Agreement by providing the other Party with written notice in accordance with the notice period specified herein. Customer shall remove all Goods and vacate the Unit, leaving it in good condition, by the termination date.
7.3 Amendment of Terms and Fees: EZ reserves the right to modify the terms of this Agreement or applicable Storage Fees, providing at least twenty-eight (28) days’ written notice to Customer. Should the modified terms be unacceptable to Customer, they may terminate this Agreement without penalty prior to the effective date of such changes.
8. Data Protection and Communication
8.1 Data Protection: EZ shall collect and process Customer’s personal information solely for purposes of managing storage services, in compliance with GDPR. EZ shall not disclose Customer’s information to third parties without consent, except as required by law.
8.2 Notice and Communication: EZ may communicate with Customer via electronic means, including email or SMS, for routine matters. Formal notices, including those related to enforcement or termination, shall be delivered in writing to the contact details provided by each Party.
9. Governing Law and Dispute Resolution
9.1 Governing Law: This Agreement shall be governed by and construed in accordance with the laws of England and Wales.
9.2 Dispute Resolution: The Parties agree to seek resolution of any disputes through mediation before initiating formal legal action. Both Parties waive rights under the Contracts (Rights of Third Parties) Act 1999, affirming that only the Parties to this Agreement may enforce its terms.
Acknowledgment and Acceptance
Customer acknowledges that they have read, understood, and accepted the terms and conditions set forth in this Agreement and that they have had the opportunity to ask questions and receive answers to all relevant queries. Customer further confirms they are legally entitled to store the Goods within the Unit.
